This website (newbusinessfiling.org) is owned and operated by New Business Filing, LLC (“Company,” “we,” “us”). We are a private, independent filing service. We are not affiliated with, endorsed by, or authorized by any federal, state, or local government agency, and we are not a law firm. You can obtain many of the business registration documents and employer identification numbers that we help prepare directly from government agencies, often for little or no charge. We charge a fee for preparing and submitting filings and for providing customer support.
PLEASE READ THESE TERMS CAREFULLY. By using this website or placing an order for services, you acknowledge that you have read, understand, and agree to be bound by these Terms and Conditions and by all applicable laws and regulations. If you do not agree to these terms, do not use this website.
Scope and Acceptance of Terms
These Terms and Conditions (sometimes called the “Services Agreement”) govern your use of newbusinessfiling.org and your purchase of services from us. When you place an order with us, you acknowledge that you accept and agree to be bound by these Terms and Conditions and to comply with all applicable laws and regulations, including U.S. export and re-export control laws and regulations. These Terms apply unless you have a separate written agreement with us.

Scope of Services; Not a Government Agency
New Business Filing, LLC provides document preparation and filing services to help individuals and business owners form and maintain business entities and obtain employer identification numbers (EINs). We act only at your direction and prepare documents using information you supply. We do not make legal recommendations, select forms, or provide legal opinions. We are not affiliated with, endorsed by, or acting on behalf of any government agency, and we do not claim to be an “authorized provider” of government documents under Google’s advertising policies.
Many of the services we offer involve obtaining official documents or filings from federal or state agencies (such as business registration filings or EINs). These documents and services are available directly from the government—often at no or low cost. When we charge a fee, it includes both the government filing fee (where applicable) and our service fee for preparing and submitting the documents and providing customer support. You are free to obtain these documents or services directly from the appropriate government agency without using our services.
User Information and Eligibility
By using this website and purchasing services, you represent that you are at least 18 years old, legally capable of entering into a contract, and authorized to act on behalf of any entity for which you request services. You agree to provide accurate, truthful, and complete information about yourself and any entity you represent. You further agree that any individuals named as members, officers, or registered agents have consented to those appointments.
You acknowledge that you are causing certain documents to be generated and filed with a government agency. By authorizing us to file documents, you affirm under penalty of perjury that the documents are your act or deed or that you believe them to be the act or deed of the person on whose behalf the documents are filed and that the facts stated are true and comply with applicable law. You bear sole responsibility for the accuracy and sufficiency of the information you provide.
Actions Authorized by User
You authorize us and our agents to act as your authorized organizer or incorporator (or as authorized agent for an entity you represent) for the limited purpose of using your information to prepare and submit documents to the appropriate secretary of state, county office, Internal Revenue Service, or other government agency. You also authorize us to pay any required government filing fees using the payment method you provide.
Responsibilities of User
By using our website and services you acknowledge that filing documents with a government agency can have legal effects, including creating rights and responsibilities. You and/or any entity you form are solely responsible for complying with ongoing requirements of any government agency, such as annual reports, tax filings, or other compliance obligations. We are not responsible for future compliance or for notifying you of reporting deadlines. We will not be liable for any late fees, penalties, cancellation or loss of business existence, or other damages arising from failure to comply with government requirements.
Price and Payment Terms
Your total price for services will be stated on your purchase receipt. You understand that our fee includes both our service fee and any government filing fees, which we pay on your behalf. Unless we have agreed otherwise, payment must be received before we accept your order. We reserve the right to decline any order. Prices do not include sales taxes unless you provide a valid tax-exemption certificate.
Refund Policy
We begin processing orders immediately after submission. You may request a refund within one business day of purchase. If you cancel within one business day and processing has not begun, we will refund your payment less a $20 processing fee or 10% of the total charge, whichever is less. No refunds are available after one business day or after processing has begun. We do not provide refunds for delays caused by government agencies or for denial of filings or EIN applications that are outside our control. No refunds will be issued due to changes in business structure or items ordered after processing begins or because you fail to respond to requests for additional information.
Additional Refund Disclosures for Ohio Consumers
Under Ohio law, sellers may establish their own refund and restocking policies as long as those policies are clearly disclosed before a transaction. We have provided our refund policy above so that you may make an informed decision before purchasing. If you pay by credit card, your rights under federal law—including the ability to dispute unauthorized charges—remain intact.
Standards and Limitations of Expedited Service
Expedited service requests are subject to the processing schedules of government agencies. We will attempt to contact you within the time frame you select; however, we are not responsible for agency site issues, outages, or delays caused by inaccurate information. Same-day expedited orders must be received before 1 p.m. (your local time) and one-hour processing orders must be received before 3 p.m. (your local time) to be processed the same day.
Assumption of Risk
You assume all risk, responsibility, and liability arising from the use of this website and our services. We are not liable for any incidental, indirect, consequential, or special damages, including loss of revenue, lost time, emotional distress, or punitive damages, even if we have been advised of the possibility of such damages. This limitation applies to any damages resulting from submission of incorrect information by you, obligations imposed by law upon you or an entity you form, or liabilities arising from operating a business.
Warranties
This warranty gives you specific legal rights, and you may have other rights that vary from state to state. We make no express warranties except those stated in this section. We warrant only that the information you provide for business or tax registration will be transmitted accurately to the appropriate government agency. We do not warrant that your filing will be approved or that our services are appropriate for your specific situation. Some states may not allow certain warranty exclusions; if so, those exclusions may not apply to you.
Limitation of Liability
In no event will our collective liability (including our licensors, service providers, employees, and agents) exceed the amount you have paid to us for the applicable service out of which liability arose. Some states do not allow the exclusion or limitation of incidental or consequential damages; if so, that limitation may not apply to you. No action arising out of these Terms may be commenced more than one year after the cause of action accrues.
Indemnity
You agree to indemnify and hold the Company and its affiliates harmless from any claims, losses, damages, judgments, or expenses (including attorneys’ fees) arising out of your use of the website or services or your breach of these Terms.

Force Majeure
We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, terrorism, labor disputes, government actions, or natural disasters.
Refusal of Service
We reserve the right to determine, in our sole discretion, what constitutes a violation of these Terms and to terminate any account or refuse services at any time for any reason.
Copyright and Trademark
All content on this site is our exclusive property and is protected by copyright. Our trademarks and trade dress may not be used for any purpose without our written consent.
Headings
Section headings are for reference only and do not affect the interpretation of these Terms.
Severability
If any section of these Terms is held illegal or unenforceable by a court, that section shall be severed, and the remainder of the Terms shall remain in effect.
Governing Law and Venue
These Terms are governed by the laws of the State of Ohio. You agree the venue for any dispute arising from these Terms shall be in the federal or state courts located in Montgomery County, Ohio.
Arbitration
If a dispute arises between you and the Company, the parties agree to refer the dispute to binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, before a single arbitrator who is an attorney familiar with electronic-commerce matters. The arbitration will be held in Dayton, Ohio, or another mutually agreed location. The arbitrator must enforce these Terms, including the limitations of liability herein, and may not award punitive or exemplary damages.

Waivers and Amendments
A waiver of any provision of these Terms on one occasion does not waive that provision on any other occasion. Any amendment must be in writing and signed by both parties.
Survival
Provisions intended to survive termination or expiration of this Agreement (such as indemnity, limitations of liability, and governing law) shall survive.
Assignment
Neither party may assign its rights or delegate its duties under these Terms without the other party’s consent, except that either party may assign its right to receive payments to a secured creditor and may subcontract for performance of its obligations.
Complete Agreement
These Terms constitute the complete understanding of the parties and supersede all prior agreements or communications concerning the subject matter. Any attempt to alter these Terms or submit an order subject to additional terms will be null and void unless we sign a written amendment.
